OurCircuits — Terms of Service

1. Who we are and what these terms cover

OurCircuits ("OurCircuits", "we", "us") is operated by Vladislav Miftakhov and Arash Kalhori, Nevada, USA. These Terms govern your use of the OurCircuits website and service at ourcircuits.com (the "Service").

By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Institutional use — where a school, university, or other organisation licenses the Service for its students or staff — is additionally governed by the Education Terms (§9) and the licence agreement signed with that institution. Where those conflict with these Terms for institutional accounts, the institutional agreement controls.

2. Eligibility and age

• You must be at least 16 years old to create an individual account, wherever you live.
• Anyone under 16 may use OurCircuits only through a licensed school or organisation, which provides the required consent and manages the account. Those accounts have messaging disabled, cannot post publicly, and are not publicly discoverable.
• We ask for your year of birth at signup. Giving a false age is a breach of these Terms and may result in termination.
• If you are 16 or 17, some settings start more restrictively for your safety, including who can see your profile. You may not be able to change all of them.

We do not knowingly accept individual registrations from anyone under 16. If we learn that we have collected personal information from someone under 16 outside an institutional arrangement, we will delete it. To report such an account, contact arashkalhori25@gmail.com.

3. Your account

You are responsible for your account credentials and for activity under your account. Use a password you do not use elsewhere. Tell us promptly at vladislavmiftakhov@gmail.com if you believe your account has been compromised.

You may not: create an account for someone else without authority; impersonate another person, group, or institution; operate multiple accounts to evade a suspension, inflate a signal (likes, follows, ratings, clone counts), or manipulate group reputation; or transfer or sell your account or username.

Usernames are first-come. We reserve a list of names (including those matching Service routes and administrative functions) and may reclaim a username that impersonates, infringes, or is used in bad faith. Username changes are rate-limited and we retain a record of prior usernames.

4. Your content, and the licence you grant

You own your content. Circuits, comments, descriptions, images, and other material you create ("Your Content") remain yours. These Terms do not transfer ownership.

To operate the Service we need permission to handle Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for technical purposes such as generating thumbnails and previews), publish, and display Your Content solely to operate, secure, and improve the Service, and to the extent you have made it public or shared it. This licence ends when you delete Your Content or your account, subject to §5 and §11.

Public circuits and cloning. Cloning is a core feature: any user can copy a public circuit and modify it, and the copy permanently displays its origin. By publishing a circuit publicly you grant every other user of the Service a non-exclusive, royalty-free licence to clone, modify, and re-share that circuit within the Service, with the provenance record intact. You may not remove or falsify a provenance record.

If you do not want a circuit to be cloneable, keep it private.

Content you post to a group may remain visible in that group after you leave, and may survive deletion of your account, so the group's shared work is not destroyed by one member's departure.

Feedback you send us about the Service is not confidential and we may use it without obligation.

5. Machine learning, advertising, and simulation

Machine learning. We do not use your private circuits, your direct messages, or any content belonging to an institutional or student account to train machine-learning models. We may use circuits you publish publicly to develop and improve features, including machine-learning features.

You can turn this off for your public circuits at any time in your account settings. Accounts belonging to users under 18 start with it turned off. Turning it off applies going forward — we cannot remove content from a model that has already been trained.

For clarity, "train" means using content as input to train or fine-tune a machine-learning model. It does not include aggregate statistics (for example, how many circuits use a particular component) or ordinary product analytics, which we use to decide what to build.

Advertising. We do not run advertising on the Service, and we do not sell or share your personal information for cross-context behavioural advertising.

Simulation. Simulation runs entirely in your browser. A circuit you do not save is not transmitted to us.

6. Acceptable use

You may not use the Service to:

1. post or transmit content that is unlawful, harassing, hateful, threatening, defamatory, or that incites violence;
2. sexualise, groom, endanger, or sexually exploit a minor in any way, or post sexual content involving minors — we report such conduct to the relevant authorities and terminate the account without notice;
3. post sexual, pornographic, or gratuitously violent content;
4. harass, stalk, or repeatedly contact someone who has blocked you or declined your message request;
5. share another person's private or identifying information without their consent;
6. infringe copyright, trademark, or other rights;
7. upload malware, attempt to break authentication or access-control, probe or scan our systems, or access data that is not yours;
8. scrape or bulk-collect user profiles, contact details, or content, or use automated means to create accounts or generate engagement;
9. manipulate signals — vote-brigading, sockpuppetry, buying or trading likes, follows, or group ratings;
10. impersonate an institution or claim an academic affiliation you do not have;
11. resell or sublicense the Service, or circumvent free-tier limits or paid-plan gating;
12. use the Service to develop weapons, or for any purpose prohibited by applicable export-control or sanctions law;
13. reverse engineer, decompile, or derive the source code of any part of the Service except to the extent applicable law expressly permits, or remove or alter any proprietary notice;
14. use the Service in a way that imposes an unreasonable load on our infrastructure, or exceed published rate limits.

7. Messaging

Direct messages are private between participants. To protect users, messages from people you do not follow arrive as requests rather than in your inbox, and you can block any account. Blocking stops messages, requests, comments, and reactions from that account.

You may not use messaging to harass, solicit, spam, or contact minors for any inappropriate purpose. We do not monitor private messages proactively, but we do review messages that are reported to us, and we act on what we find. Reports involving child safety receive priority handling.

We have the right, but no obligation, to monitor, review, screen, restrict, or remove any content on the Service. Any monitoring we do choose to perform does not create an obligation to do more of it, and we are not liable for content we did not remove.

8. Groups, ratings, and reputation

Group owners and moderators are responsible for their group's content and conduct. We may remove a group, transfer or revoke ownership, or terminate a group's access for breaches of these Terms.

Group credibility signals — age, membership, clone counts, ratings — are informational. They are not our endorsement, verification, or certification of a group, its members, or the accuracy of its content. Attempting to inflate these signals is a breach of §6.9.

9. Education and institutional accounts

Institutional licences are governed by a separate agreement. In outline: the institution is responsible for obtaining any consent required for its students, for the accuracy of its roster, and for the conduct of its accounts; we act on the institution's instructions with respect to student data; and student accounts carry restricted defaults (§2). Institutional accounts may not be used to obtain a licence for users who are not that institution's students or staff.

Conversion of an existing public or private group into an education group requires our approval.

10. Free tier, paid plans, and changes to the Service

The free tier includes a limit on the number of saved circuits, currently 10. We may change free-tier limits, but we will not reduce a limit in a way that makes your existing saved work inaccessible — you will always be able to view, export, and delete your own circuits.

The Service is currently free. If paid plans are introduced, pricing and billing terms will be published before any purchase and these Terms updated with notice.

We may modify, add, or discontinue features. Where a change materially reduces functionality you rely on, we will give reasonable advance notice. Your circuits are exportable at any time in an open JSON format — that is deliberate, and it is your protection against us.

11. Reports, moderation, suspension, and termination

Anyone can report content or an account. We review reports and may remove content, limit visibility, restrict features, suspend, or terminate an account. Serious cases — child safety, credible threats, security attacks — may be actioned immediately and without prior notice.

We aim to tell you what rule was applied and to offer a route to contest a decision at vladislavmiftakhov@gmail.com.

You may close your account at any time. On deletion: your circuits are removed unless posted to a group; your comments become author-removed placeholders so conversations remain readable; provenance records of circuits others cloned from you survive, without your identity; and group ownership must be transferred first. Reports and moderation records are retained as described in the Privacy Policy.

12. Intellectual property and copyright complaints

The Service, its software, and its branding are ours or our licensors'. These Terms grant you no rights in them beyond using the Service.

If you believe content on the Service infringes your copyright, send a notice to vladislavmiftakhov@gmail.com, attn: Vladislav Miftakhov, Nevada, USA, including the material at issue, your contact information, a statement of good-faith belief, and a statement under penalty of perjury that you are authorised to act. We will respond, including by removing content and, where appropriate, terminating repeat infringers. You may submit a counter-notice if your content was removed in error.

13. Simulation results — no warranty of accuracy or fitness

This section is important. Read it.

OurCircuits provides a simplified circuit simulator intended for learning, teaching, exploration, and early design work. It uses deliberately simplified device models. It is not a substitute for manufacturer data, bench measurement, or professional engineering judgement.

Simulation results may be inaccurate, incomplete, or wrong for your circuit. We make no warranty that a result matches physical reality, that a circuit that simulates safely is safe to build, or that the Service is suitable for any particular purpose.

You must not rely on the Service for the design, validation, or certification of anything where failure could cause injury, death, or significant loss — including mains-connected equipment, medical devices, vehicles, aviation, industrial control, or life-support systems. Building physical circuits, and especially anything connected to mains electricity, is dangerous and is entirely at your own risk.

We describe our models' limits honestly in the product; that disclosure is a design commitment, not a warranty.

13.1 Content posted by other users

Circuits, comments, descriptions, and other material posted by users are theirs, not ours. We do not create, endorse, verify, test, or guarantee user content, and we do not review it before it appears. A circuit you find on the Service may be wrong, unsafe, incomplete, or infringing. Treat anything you clone or build from as unverified, and apply §13 to it in full. Group credibility signals do not change this — they are informational, not certification (§8).

13.2 No professional advice

Nothing on the Service is professional engineering, safety, regulatory, or educational advice, and no part of it creates a professional or fiduciary relationship between us and you. Where a design matters, have it reviewed by a qualified engineer.

13.3 Educational use

The Service is a teaching and learning tool. We are not an accredited educational institution, we do not award credentials, and we do not warrant any particular academic result, curriculum fit, or suitability for a course, assessment, or accreditation requirement. Institutions are responsible for determining whether the Service meets their own instructional and compliance needs.

13.4 Third-party links and services

Profiles may contain links to other sites, and sign-in may involve third-party providers. We do not control and are not responsible for third-party sites, content, or practices. Social links on a profile are checked for format only — we do not verify that a user owns an account they link to, and their presence is not verification.

13.5 Third-party infrastructure

The Service depends on third-party hosting, database, authentication, email, and payment providers. We are not liable for interruptions, delays, data loss, or failures originating with them. When the backend is unavailable the editor and simulator still run in your browser; saving, sharing, and browsing may not.

13.6 Experimental features

Features labelled beta, preview, or experimental are provided as-is, may change or be withdrawn without notice, and may not work reliably. Do not depend on them for anything that matters.

14. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

Backups are your responsibility. We do not warrant that data will never be lost, corrupted, or made unavailable, and we are not liable for loss of your content however caused. Circuit export is available at all times in an open JSON format, and you are responsible for keeping your own exported copies of anything you cannot afford to lose.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption. Our total aggregate liability for all claims arising from or relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) US$100.

Some jurisdictions do not allow certain exclusions; where that is so, these limits apply only to the extent permitted, and nothing here limits liability that cannot lawfully be limited — including, in the UK/EEA, liability for death or personal injury caused by negligence, or for fraud. Consumers retain their statutory rights.

15. Indemnity

You agree to indemnify and hold harmless Vladislav Miftakhov and Arash Kalhori and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from: content you post; your breach of these Terms; your infringement of another person's rights; or your use of the Service in violation of law. We may assume the defence of any such matter at your expense, and you will cooperate.

This section does not apply to the extent the law does not permit it, and does not apply to consumers where mandatory consumer-protection law prohibits it.

16. Changes to these Terms

We may update these Terms. For material changes we will give notice — in-product, by email, or both — before they take effect, and we will keep the previous version available. Continued use after the effective date means you accept the updated Terms. If you do not accept them, close your account and export your work.

17. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws rules.

Talk to us first. Before starting any formal proceeding, contact us at vladislavmiftakhov@gmail.com and give us 30 days to resolve the matter. Most disputes end here.

If that fails, disputes will be resolved in the state or federal courts located in Nevada, and you and we consent to their jurisdiction — except that either party may bring an individual claim in small-claims court, and either party may ask any court for injunctive relief to protect intellectual property or stop misuse of the Service.

If you are outside the United States, nothing above limits mandatory rights or remedies available to you under the law of your country of residence, including any right to bring proceedings in your local courts.

Institutional licensees: where a licence agreement contains a dispute-resolution provision, that provision controls for disputes under the licence.

18. General provisions

Suspension and discontinuation. We may suspend or discontinue the Service, in whole or in part, and may terminate accounts that breach these Terms. Where we discontinue a service you pay for, we will give reasonable notice; if you have paid for service not yet delivered, we will refund the unused portion.

Electronic communications. You agree that we may give notices to you electronically — in-product, by email to your account address, or by posting to the Service — and that this satisfies any requirement that a notice be in writing.

Time limit on claims. If you are in the United States, any claim arising from or relating to the Service must be brought within one year after it arises, or it is permanently barred, except where a longer period cannot lawfully be shortened. This limit does not apply to users in the EEA or UK, or anywhere else that mandatory consumer-protection law prohibits it.

Equitable relief. Breach of §4 (licences), §6 (acceptable use), or §12 (intellectual property) may cause harm that money cannot remedy, and we may seek injunctive relief without posting a bond, in addition to any other remedy.

Assignment. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets. You may not assign or transfer them, or your account, without our written consent.

No waiver. Failure to enforce a provision is not a waiver of it.

Severability. If a provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in force.

Survival. §4 (licences you have granted for content that remains on the Service), §5, §12, §13, §14, §15, §17 and this §18 survive termination.

Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including outages at our infrastructure providers, network failure, natural disaster, or government action.

Entire agreement. These Terms, the Privacy Policy, and any institutional licence agreement are the entire agreement between us on their subject matter, and supersede prior understandings.

Language. These Terms are drafted in English; any translation is provided for convenience and the English version controls.
